These Terms and Conditions ("Terms") govern the access to and use of the Voone platform and related services (the "Platform" or the "Services") provided by Scalai Solutions LLC, a company organized under the laws of the State of Wyoming, USA, with registered address at 30 N Gould St Ste R, Sheridan, WY 82801, United States ("Voone", "we", "us", or "our").
By accessing or using the Platform, creating an account, or clicking to accept these Terms, you ("Customer", "you", or "your") agree to be bound by these Terms.
Voone provides its Services to both business and individual users. Where the Customer is a business entity, the Customer represents and warrants that it has the authority to bind the organization to these Terms.
1. Definitions
- Customer means the individual or legal entity that registers for or uses the Services.
- Authorized Users means any person authorized by the Customer to access the Platform.
- End Users means individuals who interact with voice agents, chat agents, or automated workflows created by the Customer.
- Customer Data means any data submitted, uploaded, generated, or processed through the Platform, including voice recordings, transcriptions, contact details, messages, workflow data, and CRM records.
- Platform Data means data related to the operation, performance, security, and improvement of the Platform.
- Aggregated Data means anonymized and aggregated data that does not identify the Customer or End Users.
- Voice Data means call audio, recordings, transcriptions, and related metadata.
- Workflows means automated processes, integrations, or logic configured by the Customer within the Platform.
2. Account Registration and Use
2.1 To use the Services, you must create an account and provide accurate, complete, and current information.
2.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2.3 The Customer is fully responsible for the actions of its Authorized Users and for compliance with these Terms.
2.4 Voone may suspend or terminate accounts that provide false information or violate these Terms.
3. Description of the Services
3.1 Voone provides a software platform that enables voice AI agents, chat AI agents, workflow automation, integrations, and CRM-related functionalities.
3.2 Certain features may depend on third-party services or integrations. Voone does not control and is not responsible for third-party services.
3.3 Voone may modify, update, or discontinue features of the Platform at any time, provided that such changes do not materially reduce the core functionality of paid Services during an active subscription term.
4. Subscription, Usage and Payment
4.1 The Services are offered on a subscription basis and may include usage-based components.
4.2 Fees, usage limits, and billing intervals are described at the time of purchase or within the Platform.
4.3 All fees are billed in advance unless otherwise stated and are non-refundable.
4.4 Usage exceeding included limits may result in additional charges.
4.5 You authorize Voone to charge your selected payment method for all applicable fees.
4.6 Failure to pay may result in suspension or termination of access to the Services.
5. Customer Obligations and Acceptable Use
5.1 The Customer agrees to use the Services in compliance with all applicable laws and regulations.
5.2 The Customer is solely responsible for obtaining all required consents from End Users, including consent for call recording, AI disclosures, and data processing.
5.3 The Customer must not use the Platform for unlawful, deceptive, abusive, or harmful activities, including but not limited to spam, harassment, fraud, impersonation, or unauthorized surveillance.
5.4 Voone reserves the right to suspend or terminate access for violations of this section.
6. Data Ownership and Rights
6.1 The Customer retains ownership of all Customer Data.
6.2 The Customer grants Voone a limited, non-exclusive license to process Customer Data solely to provide, maintain, and improve the Services.
6.3 Voone does not sell Customer Data to third parties.
6.4 Voone may use Aggregated Data for analytics, benchmarking, and platform improvement.
7. Intellectual Property
7.1 Voone retains all rights, title, and interest in and to the Platform, including all intellectual property rights.
7.2 These Terms do not grant the Customer any rights to Voone trademarks or branding, except as expressly permitted.
7.3 The Customer represents that it has all necessary rights to the content and data it submits to the Platform.
8. Service Availability and Support
8.1 Voone aims to provide reliable access to the Services but does not guarantee uninterrupted or error-free operation.
8.2 Scheduled maintenance or unforeseen outages may occur.

9. Term and Termination
9.1 These Terms remain in effect while you use the Services.
9.2 You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
9.3 Voone may suspend or terminate access immediately if you breach these Terms or use the Services unlawfully.
9.4 Upon termination, access to the Platform will cease and Customer Data may be deleted in accordance with Voone's data retention practices.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available". Voone disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Voone shall not be liable for indirect, incidental, consequential, or punitive damages.
Voone's total liability for any claim shall not exceed the total fees paid by the Customer to Voone in the twelve months preceding the claim.
12. Indemnification
The Customer agrees to indemnify and hold harmless Voone from any claims, damages, or losses arising from the Customer's use of the Services, violation of these Terms, or violation of applicable laws.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the state or federal courts located in Wyoming.
14. Changes to These Terms
Voone may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
